Schedule 1 - Terms and Conditions

These terms explain how the FundFindrs Business Partner Program works, what FundFindrs and the Business Partner are responsible for, and the key conditions that apply to client referrals and client contributions.

1. Parties and program details

These terms apply between FundFindrs Group Pty Ltd ABN 92 621 080 617 of Level 14, 15 Blue Street, North Sydney NSW 2060 and the participating Business Partner named in the Business Partner Agreement. The program is the FundFindrs Business Partner Program.

2. Purpose of the partnership

The Business Partner Program is a referral and collaboration arrangement. The Business Partner may introduce clients to FundFindrs for funding reviews, grants, R&D Tax Incentive opportunities and related funding pathways. FundFindrs will assess each introduced client and determine whether there is a suitable opportunity to progress. The Business Partner is not required to prepare applications, manage claims or provide specialist funding advice.

3. FundFindrs responsibilities

FundFindrs will provide practical resources to help the Business Partner explain the program to clients. Where appropriate, FundFindrs will complete an initial funding review for introduced clients and assess potential eligibility for grants, R&D Tax Incentive and other relevant funding pathways. If a client chooses to proceed, FundFindrs will manage its own engagement directly with that client. Where all Program Terms are met, FundFindrs may provide eligible clients with the client contribution described in these terms.

4. Business Partner responsibilities

The Business Partner may introduce clients who are investing in innovation. The Business Partner must only share client information with FundFindrs where the client has agreed for this to happen. The Business Partner must use FundFindrs approved program materials when explaining the program and must not make promises about eligibility, approval, funding amounts or timing. Technical, funding, tax or program questions should be referred to FundFindrs. The Business Partner should also tell FundFindrs if a client already has a funding adviser or R&D Tax Incentive provider.

5. Client relationship and communication

The Business Partner keeps its own relationship with the client. FundFindrs manages its own engagement with the client once the client agrees to proceed with FundFindrs services. FundFindrs will not provide accounting, tax agent, audit, financial planning or legal services unless separately agreed in writing. Both parties must communicate professionally and avoid creating confusion about who is responsible for which services.

6. Client contribution

Clients introduced through participating Business Partners may be eligible for a $1,000 contribution towards their accounting fees with the Business Partner where FundFindrs successfully identifies additional funding opportunities. The contribution is for the client, not the Business Partner, unless FundFindrs agrees otherwise in writing. The contribution is subject to these terms and any separate FundFindrs Business Partner Program terms issued by FundFindrs.

7. Fees and referral payments

Unless FundFindrs agrees otherwise in writing, there is no fee for the Business Partner to join the program and the Business Partner does not receive a referral commission under this Agreement. If a client chooses to engage FundFindrs, the client will enter into a separate agreement directly with FundFindrs. All FundFindrs client fees are handled directly between FundFindrs and the client.

8. No guarantees

Neither FundFindrs nor the Business Partner can guarantee that a client will be eligible for any grant, R&D Tax Incentive, finance product or funding outcome. Final decisions on grants, R&D Tax Incentive registrations, funding approvals and finance are made by the relevant government body, funder, lender or other third party. The Business Partner must not represent itself as authorised to bind FundFindrs or speak on behalf of FundFindrs unless FundFindrs agrees in writing.

9. Confidentiality and privacy

Both parties must keep confidential information secure and only use it for the purpose of the Business Partner Program. Client information must only be shared with client consent or where otherwise permitted by law. Each party is responsible for complying with its own privacy, confidentiality and professional obligations.

10. Brand and marketing material

The Business Partner may use FundFindrs approved program materials to introduce the opportunity to clients. FundFindrs may provide co-branded material where appropriate. Neither party may use the other party's logo, name, testimonial or case study publicly without written approval.

11. Term and ending the partnership

The Business Partner Agreement starts on the start date recorded in the Agreement and continues until ended by either party. Either party may end the partnership by giving 30 days written notice. FundFindrs may end the partnership immediately if the Business Partner misrepresents the program, breaches confidentiality, misuses client information or acts in a way that may damage FundFindrs' reputation. Ending the partnership does not affect any client engagement already entered into directly between FundFindrs and a client.

12. Independent businesses

This Agreement does not create an employment relationship, legal partnership, joint venture, agency, franchise or exclusive arrangement. Each party remains responsible for its own business, people, advice, services and decisions.

13. Whole agreement and governing law

The Business Partner Agreement and these Program Terms contain the full understanding between the parties about the FundFindrs Business Partner Program. Any change must be agreed in writing. This Agreement is governed by the laws of New South Wales, Australia.

14. Acceptance of terms

By completing the Business Partner registration or otherwise participating in the FundFindrs Business Partner Program, the Business Partner confirms it has read, understood and agreed to these terms and conditions.

15. Logo Usage Authorisation

By entering into this Agreement, you grant FundFindrs the right to use your logo or trademark on our website, social media channels, or in marketing and advertising materials for purposes such as testimonials case studies, or showcasing our work, unless you request otherwise in writing. You also agree not to make any statement that disparages or is reasonably likely to harm the reputation of FundFindrs, its directors, employees, or services.
